These Terms of Service (the "Terms") govern access to and use of the Insyder service and the purchase of related subscriptions. By creating an account, downloading the application, or subscribing, you agree to these Terms.
1. Who we are
The service is operated by INSYDER IO LLC, a Wyoming limited liability company, 5830 E 2nd St, Ste 7000 #37750, Casper, WY 82609, USA — contact: support@insyder.io ("Insyder", "we").
"Service" means the insyder.io website, the app.insyder.io web application, the Insyder desktop application (macOS and Windows), the public API, the MCP server and documentation (docs.insyder.io). "Analyzed Account" means the Instagram account you connect or designate for analysis. "Audience Data" means data relating to third-party Instagram accounts interacting with your Analyzed Account, collected and analyzed by the Service on your behalf.
2. The Service
Insyder is a sales-intelligence tool for Instagram: it collects, stores over time, and analyzes interactions related to your Analyzed Account (views, likes, comments, follows, replies, content data), computes indicators (engagement scores, lead lists, content performance), and connects with third-party tools (iClosed, Zapier, CSV exports, API, MCP). The Service is intended for professional/business use.
3. Accounts
You must provide a valid email address and only connect or designate Instagram accounts that you own or are authorized to analyze. Analyzing a third party's account without authorization is prohibited. You are responsible for your credentials and for all activity under your account. Seats are personal; seat counts depend on your plan. You represent that you have authority to enter into these Terms.
4. Instagram dependency — important
4.1. The Service relies on (i) publicly accessible data collected through third-party data providers, (ii) where you connect your account in the app, data accessible through your Instagram session (e.g., story views), and (iii) Meta's official APIs where you consent.
4.2. By connecting your Analyzed Account you expressly authorize Insyder to access and process its data to provide the Service, as described in the Privacy Policy.
4.3. Instagram changes constantly (technical limits, anti-automation measures, API and policy changes). Accordingly: features may be suspended, degraded, or removed at any time to protect customers' accounts or comply with platform changes; we do not guarantee continuity, completeness, or accuracy of data.
4.4. Certain indicators (scores, estimated follow dates, "potential" amounts) are model estimates, not certified values.
5. Subscriptions, fees, payment
5.1. The Service is sold as a monthly or annual subscription, per the plans, quotas, seats and credits described at checkout. Some plans may be available only by demo/quote.
5.2. Prices are those displayed at the time of order, exclusive of taxes unless stated otherwise; applicable taxes (including VAT) are computed and collected at checkout, where applicable by our payment provider. We may change prices with at least 30 days' notice, effective from your next billing cycle.
5.3. Payments are processed by Whop. If a payment fails, we may suspend access after notice until resolved.
5.4. Subscriptions renew automatically unless cancelled. You may cancel at any time via your subscription management space (Whop) or by writing to support@insyder.io; cancellation takes effect at the end of the current billing period, without pro-rata refunds.
5.5. "Lifetime" discounts mean the discounted rate is maintained for as long as the relevant subscription remains active without interruption. Cancellation, lapse for non-payment, or plan changes end the discount; re-subscribing is at then-current rates. Promotions are time-limited and non-cumulative unless stated otherwise.
5.6. Included quotas and credits are tied to the billing period and are neither carried over nor refundable unless stated otherwise.
5.7. Your subscription is tied to the Analyzed Account designated at signup; changes may be requested via support, and the number of analyzable accounts depends on your plan.
6. Refunds
Except where required by mandatory law or expressly agreed in writing, fees are non-refundable. If you subscribe as a consumer under applicable law, you may have a 14-day withdrawal right; by requesting immediate access to the Service you expressly consent to immediate performance and acknowledge that you lose the withdrawal right once the Service is fully performed, or owe a proportional amount for services already provided. Goodwill gestures (credits, extensions, compensation for incidents) are discretionary.
7. Your obligations
You agree to: (1) use the Service lawfully and in accordance with these Terms and the Instagram/Meta terms applicable to your own account; (2) connect only accounts you own or are authorized to use; (3) use Audience Data solely for your internal, legitimate business purposes and in compliance with applicable data-protection and marketing laws (you act as data controller of your Audience Data for such uses); (4) not resell, publish, or disclose Audience Data or exports except to your service providers acting on your behalf; (5) not circumvent technical limits, quotas, or security measures, and not use the Service to build a competing product; (6) not use the Service for harassment, unlawful surveillance, discrimination, or any illegal purpose. Violations may lead to suspension or termination (Section 12).
8. Software license
We grant you, for the duration of your subscription, a personal, non-exclusive, non-transferable, revocable license to install and use the desktop application and access the Service for your internal needs. The application may auto-update. Applications are distributed outside app stores; operating-system installation warnings (e.g., Microsoft SmartScreen) are documented on our website. Decompilation (except as permitted by law), sublicensing, rental, and use for unauthorized third parties are prohibited.
9. API, MCP, integrations
API and MCP access is subject to documented quotas and rate limits (docs.insyder.io). API keys are personal and confidential. Third-party integrations (iClosed, Zapier, Meta, etc.) are subject to those third parties' terms; we are not responsible for third-party services.
10. Intellectual property and data
The Service, its software, interfaces, trademarks, and databases remain the exclusive property of Insyder and its licensors. You retain your rights in your workspace data and grant Insyder a worldwide, non-exclusive license to host, reproduce, and process it to (i) provide and secure the Service and (ii) produce statistics and improve the Service, including in aggregated and anonymized form. Upon account closure you may export your data before the effective termination date; retention and deletion are described in the Privacy Policy. Feedback may be freely used.
11. Warranties and liability
11.1. The Service is provided "as is" and "as available". We do not warrant error-free or uninterrupted operation or fitness for a particular purpose.
11.2. No guarantee of results. Indicators and scores are decision aids: we do not guarantee any commercial outcome (revenue, response rates, audience growth). Examples, testimonials and simulators are illustrative.
11.3. To the extent permitted by law, we are not liable for measures taken by Instagram/Meta against your account (warnings, restrictions, suspensions), platform changes, or resulting data unavailability (Section 4.3 applies).
11.4. To the extent permitted by law, Insyder's total aggregate liability is limited to direct damages and capped at the amounts you paid in the twelve (12) months preceding the event giving rise to liability; indirect damages (lost profits, lost business, lost data, reputational harm) are excluded.
11.5. Nothing in these Terms excludes liability that cannot lawfully be excluded.
11.6. Neither party is liable for failures caused by force majeure (including cloud-provider outages, third-party platform decisions beyond our control, or major cyberattacks).
12. Suspension and termination
You may cancel at any time (Section 5.4). We may suspend or terminate access, with notice except in urgent cases, for breach of these Terms, non-payment, fraudulent or harmful use, or legal requirements. We may discontinue all or part of the Service with reasonable notice; prepaid amounts for undelivered periods will then be refunded pro rata.
13. Data protection
Processing of personal data (your data and Audience Data) is described in the Privacy Policy, which forms part of these Terms. Where Insyder processes Audience Data on your behalf, the data-processing annex in the Privacy Policy applies.
14. Changes to these Terms
We may modify these Terms with at least 15 days' notice (email or in-app) for material changes. Continued use after the effective date constitutes acceptance; otherwise you may cancel before the changes take effect.
15. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, USA, without prejudice to mandatory consumer protections of your country of habitual residence where applicable. Disputes shall be submitted to the competent courts of the State of Wyoming, unless mandatory law provides otherwise. The parties will first seek an amicable resolution in good faith (support@insyder.io). If any provision is held invalid, the remainder stays in force.
